- User Reservation

- Termination.
- We reserve the right in our sole discretion and at any time to terminate or suspend your Membership and/or block your access to the Website for any reason including, without limitation if you have failed to comply with the letter and spirit of these Terms of Use. You agree that The McLauchlan Law Group LLC shall not be liable to you or any third party for any termination or suspension of your Membership or for blocking your access to the Website.

- Any suspension or termination shall not affect your obligations to us under these Terms of Use. The provisions of these Terms of Use which by their nature should survive the suspension or termination of your Membership or these Terms of Use shall survive including, but not limited to the rights and licenses that you have granted hereunder, indemnities, releases, disclaimers, limitations on liability, and provisions related to choice of law,
XII. Applicable Law. The parties agree that it is their intention and covenant that this agreement and performance under it and all suits and special proceedings relating to it be construed in accordance with and under and pursuant to the laws of the State of Illinois and that in any action, special proceeding, or other proceeding that may be brought arising out of, in connection with, or by reason of this agreement, the laws of said State shall be applicable and shall govern to the exclusion of the law of any other forum, without regard to the jurisdiction in which any action or special proceeding may be instituted.
XIII. Amendment; Additional Terms.
We reserve the right in our sole discretion and at any time and for any reason, to modify or discontinue any aspect or feature of the Website or to modify these Terms of Use. In addition, we reserve the right to provide you with operating rules or Additional Terms. Our Additional terms as of July 2024 include the following:
Not Legal Advice: you agree that any content on this website is not quote legal advice” but as solely information for your use without obligation and without the McLaughlin Law Group LLC agreeing to represent you or your company or entity. No one can become a client of the firm without our express written consent and without the client’s written agreement and the scope of the retention being your agreed upon as reflected in the signed engagement agreement. All clients must execute a written retention agreement before becoming clients of the firm.
Fees and Expenses: We do not customarily engage in contingency fee litigation. Instead, our fees are based upon hourly rates for our team of professionals based upon the expertise of the team members assigned to your matter. The managing partner oversees all billing issues to ensure proper billing policies on all matters. Clients are responsible for all costs and expenses for a matter including, without limitation, filing fees, court reporter fees, expert fees, shipping and messenger fees, and necessary travel and lodging expenses.
Fee payments: The firm employs an outside vendor (LawPay and Themis Solutions (d/b/a “CLIO”) to enable fees to be paid by credit card, ACH, or wire transfer. We also provide instructions to clients in our engagement process on how to send to us directly ACH and wire transfer payments for initial client retention retainers and subsequent fee statements. All these transactions are encrypted and protected by our financial vendors. We do not retain any credit card information for clients.
Client Retention policies: We customarily require new clients to undergo a background check, at our expense, and require all new clients to pay a refundable retainer in advance and as a condition of our agreement to represent a client.
We do not accept all clients for representation, accepting only those matters that we believe are within our area of expertise and only those clients and matters that suit our business plan and ethical obligations and capabilities at any given time.
Legal information on our website: From time to time, we will post legal information and legal decisions of note on our website, or comments thereon. We also may provide updates on events, honors and other information about our legal team and the opinions of our lawyers. These statements are not legal advice. They may not be relied upon as legal advice and your reliance on any such statements is at your own risk and does not create a lawyer-client relationship.
Background information. The details of our expertise and the experience of our lawyers and our past successful representation in other matters are statements of fact and are not promises of a successful outcome of any representation that we may agree to undertake in your matter. The results in any matter will be dictated by many factors outside our control including your prior dealings and agreement with the opposing party, legal precedent, and the timing of our engagement relative to the key deadlines in the case. We promise to use our best efforts in our professional capacity to represent all clients in a proper and zealous manner.
Arbitration and Mediation: For matters in arbitration or mediation, where our lead partner David McLauchlan is serving as a neutral arbitrator or mediator, he agrees on behalf of himself and the firm to carefully investigate any proposed assignment and undertake only those matters that he believes he can undertake without risk of any conflict of interest. He also agrees to immediately notify the parties if he becomes aware of any conflict should one arise at any time during his involvement in a project.
Cloud file management tools: The firm uses the latest tools in cloud-based document management including law firm specific case management, document management and cloud based legal research tools. For all working files, the firm maintains redundant backup systems for all data. All client information is secured, and VPNs are used to transmit any information. The firm strives to maintain a paperless office but does maintain a paper file for redundancy for a period of time. The firm requires business clients to identify the client contact persons for all communications on behalf of their business entity.
Artificial Intelligence: The firm has invested in the latest tools available to the legal profession employing artificial intelligence for research, document analysis and legal drafting. All these tools have been thoroughly tested and employ closed sets of data to prevent the sharing of client confidential information with any third party. The firm uses these tools when they help streamline research, drafting and data set analysis to provide efficiencies on client matters. All such AI inputs are subject to review and sign off by the managing partner. In no case are we delegating final work product to any such AI tools. For mediation and arbitration matters, our managing partner David C McLaughlin will be drafting his opinions without the aid of AI tools relying instead on his skills and experience. He may use AI tools to help with a summary of vast quantities of documents which he has previously reviewed solely for the purpose of effectively having an outline or summary of those documents for further reference during any such assignment. The firms and their lawyers will be further guided by any ethical rulings about AI tools by the relevant ethical bodies related to resolution of any such dispute.

- A. Any Additional Terms that we may provide to you will be incorporated by reference into these Terms of Use. To the extent any Additional Terms conflict with these Terms of Use, the Additional Terms will control.
- Modifications to these Terms of Use or Additional Terms will be effective immediately upon notice, either by posting on the Website or by notification by email or conventional mail. It is your responsibility to review the Terms of Use and the Website from time to time for any changes or Additional Terms. Your access and use of any the Website following any modification of these Terms of Use or the provision of Additional Terms will signify your assent to and acceptance of the same. If you object to any subsequent revision to the Terms of Use or to any Additional Terms, you may terminate your Membership as provided in Section XI herein or, if you do not have a Membership, your only recourse is to immediately discontinue use of the Website.
XIII. Miscellaneous.
- The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. If any provision of this Agreement is held to be invalid, the parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed by both parties subsequent to the expungement of the invalid provision.
- No Waiver. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred.
- Notices. Unless provided herein to the contrary, any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party.
- Attorney’s Fees. In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all the sums that either party may be called on to pay, a reasonable sum for the successful party’s attorney fees.
- Mandatory Arbitration. Notwithstanding the foregoing, and anything herein to the contrary, any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
- Entire Agreement. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement.
- Assignment of Rights. The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party.
